1. Acceptance of Terms
By accessing and using SOPdesk ("Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.
2. Description of Service
SOPdesk is a web-based Standard Operating Procedure (SOP) management platform designed for healthcare organizations. The service includes document management, AI-powered assistance, user management, training tracking, and compliance features.
3. User Accounts
Account Creation: You must provide accurate and complete information when creating your account. You are responsible for maintaining the confidentiality of your login credentials.
Account Security: You are responsible for all activities that occur under your account. Notify us immediately of any unauthorized use of your account.
Account Termination: We reserve the right to terminate accounts that violate these terms or engage in activities harmful to the service or other users.
4. Acceptable Use
You agree not to use the Service to:
- Upload, post, or transmit any content that is unlawful, harmful, or infringes on others' rights
- Attempt to gain unauthorized access to the Service or other users' accounts
- Interfere with or disrupt the Service or servers connected to the Service
- Use the Service for any illegal or unauthorized purpose
- Violate any applicable local, state, national, or international law
- Upload, store, or transmit Protected Health Information (PHI) or other individually identifiable patient health data through the Service
5. Data and Privacy
Your Data: You retain ownership of all data, files, and content you upload to the Service. We do not claim ownership of your content.
Data Processing: We process your data in accordance with our Privacy Policy to provide and improve the Service. This includes using AI features to assist with SOP creation and management.
Data Security: We implement appropriate technical and organizational measures to protect your data, including encryption, access controls, and regular security assessments.
6. Subscription and Payment
Billing: Subscription fees are billed in advance on a monthly or annual basis. All payments are non-refundable except as required by law.
Automatic Renewal: Your subscription automatically renews at the end of each billing period (monthly or annual, as selected at checkout) and your payment method on file will be charged the then-current subscription fee for the next period, until you cancel. The renewal amount and billing frequency are shown at checkout before you subscribe. You may cancel at any time before a renewal date from your account billing settings to avoid being charged for the next period. See our Cancellation Policy for details.
Promotional Codes: From time to time we may offer promotional codes that grant a discount or a period of free access. Promotional codes are subject to their stated terms and redemption limits, have no cash value, and may be withdrawn at any time. Unless a valid promotional code is applied, your subscription is billed from the start of your subscription.
Cancellation: You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period.
Price Changes: We may change subscription prices with 30 days' notice. Price changes will take effect on your next billing cycle.
7. Intellectual Property
The Service and its original content, features, and functionality are owned by Datatronics LLC (d/b/a SOPdesk) and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.
You are granted a limited, non-exclusive, non-transferable license to use the Service for your organization's internal business purposes.
8. AI-Generated Content
The Service includes features that use artificial intelligence to draft, suggest, or revise content, including SOP drafts, training material, and assistant responses ("AI-Generated Content").
AI output may be wrong. AI-Generated Content may contain errors, omissions, outdated information, or language that does not comply with the laws, regulations, or standards (including USP chapters and state board of pharmacy rules) applicable to your organization. AI-Generated Content is provided as a starting point only and is not professional, legal, regulatory, or pharmaceutical advice.
You must review before use. You are solely responsible for reviewing, verifying, and approving all AI-Generated Content — including review by your pharmacist-in-charge or other qualified personnel where appropriate — before adopting it for operational, training, or compliance use. We make no representation that any AI-Generated Content complies with any regulatory standard, and we disclaim all liability arising from your use of AI-Generated Content that has not been independently verified.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE EXPRESSLY DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, THAT DEFECTS WILL BE CORRECTED, OR THAT ANY CONTENT — INCLUDING AI-GENERATED CONTENT — WILL BE ACCURATE, COMPLETE, OR COMPLIANT WITH ANY LAW, REGULATION, OR STANDARD.
Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOPDESK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
Our total liability for any claims under these terms shall not exceed the amount you paid us for the Service in the 12 months preceding the claim.
11. Security and Healthcare Regulations
Security: We implement appropriate technical and organizational safeguards to protect your data, including encryption in transit and at rest, role-based access controls, tenant data isolation, and audit logging.
Not Intended for PHI: SOPdesk is a documentation, training, and compliance management platform. It is not intended for, and must not be used to store or transmit, Protected Health Information (PHI) such as patient names, medical record numbers, or other individually identifiable patient health data. SOPdesk does not act as a HIPAA Business Associate, and the Service is not represented as "HIPAA compliant." You are solely responsible for ensuring the SOPs and documentation you create do not contain PHI.
Your Compliance Responsibility: You are responsible for ensuring your use of the Service complies with all applicable laws and regulations in your jurisdiction, including healthcare privacy and security regulations, and for the accuracy and compliance of the SOPs and procedures you create and manage using the Service.
12. Termination
Either party may terminate this agreement at any time. Upon termination, your right to use the Service will cease immediately. You will have a 30-day window after termination to export your data, as described in our Cancellation Policy, before final account deletion.
13. Changes to Terms
We reserve the right to modify these terms at any time. We will notify you of any changes by posting the new terms on this page and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the new terms.
14. Governing Law and Dispute Resolution
Governing Law: These Terms, and any dispute arising out of or relating to these Terms or the Service, are governed by the laws of the State of Arizona, without regard to its conflict-of-law principles.
Venue: Any legal action arising out of or relating to these Terms or the Service shall be brought exclusively in the state or federal courts located in Maricopa County, Arizona, and you consent to the personal jurisdiction of those courts.
Informal Resolution First: Before filing any claim, you agree to contact us at [email protected] and give us 30 days to attempt to resolve the dispute informally.
